This listing was written and published by the VC Company that helped develop this platform 15-years ago and has overseen its finances since. The asset we are divesting is a virtual, software based advertising auction which was funded in 2006. It then became operational in 2007. It has purchased more than $130MM (based on local rate card levels) and has done more than $13MM in net revenue, along with purchasing more than 1 million commercials. It virtual, national business that acquires commercials in all 50-States.

Covid hit this business hard, like many businesses in this space. And our VC company made a decision last year that we were exiting all of our software and virtual business space (not just this asset); further, when the sales team left we would not spend the financing or resources to go through rebuilding that department again. We obviously did subsidize the back-office team which runs the software and the auction to make sure the backbone was still in place to help make a smooth transition to the future buyer of this platform.

Any Earn-Out buyer of this software platform and business will be acquiring the following: vendor database and contracts, platform and a back-office team with 5-9 years of tenure. What an Earn-Out buyer has to bring is the B2B sales engine/team and the revenue to pour through the platform.

A couple of this companies long-term customers (one more than 10 years tenure) eventually came back after a half-year+ off during Covid. Therefore, the platform currently has about $8-10k a month in free cash flow. But this obviously is not a trailing EBITDA sale and negotiations for the maximum amount of Royalty and Earn-Out payments will be based on the Buyer demonstrating their experience and stability in this space, to effectively generate B2B sales and revenue and pour into this platform.

For those of you not familiar with IP transactions: software platforms and databases are no different than a building or a piece of land. They have static, market value on their own, separate from EBITDA or free cash flow. Some people lease software forever, some require escrow deposits and then future royalty payments, some sell for chunks of cash and some do Earn-Out type models like we are offering.

By already going to the expense to bring our IP law firm on board to field inquiries I think this shows we are serious about divesting. Please contact if you feel you have a B2B sales team/engine ready to start pushing revenue through the platform.
